BY-LAWS OF THE

WISCONSIN AVAYA USER GROUP

ARTICLE I

IDENTIFICATION

 
The group shall be a nonprofit organization to be known as the Wisconsin Avaya User Group (WAUG), hereafter referred to as User Group.

ARTICLE II

MISSION

The Users Group mission is to provide members the opportunity for networking among industry professionals and peers alike, assistance with problem solving, a unified voice to Avaya Communication regarding problems, concerns and innovative ideas, as well as prospective opportunities as a WAUG Executive Board Member.

ARTICLE III

MEMBERSHIP

1.  Membership shall be defined as:

A.    Membership shall be limited to person(s) directly involved in the management or use of any Lucent and/or Avaya or Nortel communication systems, with the exception  of any individual, company or organization whose purpose involves the sale, marketing or distribution of said equipment.

B.    Members who currently qualify for membership under section (A) above and become unemployed during their current membership year may continue their membership with the Users Group for the paid year.  New membership under this clause is not allowed.

C.    Members are permitted to:

1.     Vote
2.     Hold office
3.    
Serve on committees
4.     Chair committees
5.     Attend User Group meetings

2.  Any member may resign from the User Group at any time. Annual dues are not refundable.

3.  Any member may be expelled from the User Group for conduct detrimental to the interest of the User Group. Such actions shall require a quorum vote of the current Executive Board Members for the User Group.

ARTICLE IV

ANNUAL MEMBERSHIP DUES

1.  The Executive Committee Board Members shall recommend annual membership dues. The recommended dues for membership shall be an amount deemed sufficient to meet expenses for the User Group for the forthcoming year’s monthly meetings.

2.  All membership dues shall be billed by March 31st.

3.  Executive Committee Board Members will have their membership dues waived for the term they are active participating board members.

ARTICLE V

MEETINGS

 1.  Meetings shall be held in fall with a Mini State meeting, with the Regional being meetings or a webinar, whichever the Board deems most relevant to WAUG members. Meeting locations may change based on availability, content, and potential webinar offering.

       Regional meeting locations will be specified when scheduling the meetings, based on availability. 

2.  A State Users Group meeting shall be held annually.

ARTICLE VI

ELECTIONS

1.  Election of Executive Board Members shall be held at the annual State meeting.

2.  Nomination for the offices will be made from the floor at the State meeting. If the member is not present at the meeting, prior consent must be obtained from the member to be nominated.

3.  The nominee for each office, having received the largest number of votes, shall be elected and shall take office following the State meeting.

ARTICLE VII

EXECUTIVE COMMITTEE BOARD MEMBERS

       General Requirements:

       All Executive Board Members are expected to participate in all board meetings or conference calls and event coordination unless excused.

      Executive Committee Board Members will have their WAUG membership and all WAUG related monetary fees waived for the term they are actively participating board members.  Rather than get a refund for prepaid fees, a board member leaving the board will be eligible for a waiver of fees for the next following year’s membership and conference registration.  

1.  The President shall: be the Executive Officer of the User Group; serve the term of one year; preside at all meetings; create special committees as deemed necessary; appoint individuals to complete terms of office in the event that an officer resigns or is otherwise unavailable to complete the term; perform other executive functions as required; call meetings of the Executive Committee Board Members as necessary; set meeting agendas and is authorized to sign checks in the absence of the treasurer; assist in the planning of and coordinating of WAUG meetings or events.
2.  Vice President shall: serve a term of one year; perform the same functions as the President; and back-up the President in each capacity. The Vice President shall then be installed as President upon completion of the one-year Vice President Term; assist in the planning and coordinating of WAUG meetings or events.
3.  Past President shall: assist the President and shall assume the duties of the President at such times as the President may request; shall serve the term of one year as Past-President; assist with the planning and coordinating of WAUG meetings or events.
4. Treasurer shall: be the financial officer of the Users Group and serve the term of two years, sending out notices of membership dues and being responsible for the collection of same; maintain a bank account in the name of the User Group and sign all checks and obtain authorization for disbursement from the Executive Committee Board Members; make a report to User Group meetings; provide for successor signature cards from the bank to be signed by the newly elected Executive Committee Board Members; assist in the planning and coordinating of WAUG meetings or events.
5.  Secretary shall: serve the term of two years; keep accurate minutes of all business meetings; assist in the planning of meetings, including State; write and mail any legal or business letters to be sent in the name of the User Group; assist with the planning and coordinating of WAUG meetings or events. 
6. Membership Officer shall: serve the term of two years; maintain accurate database of members; communicate membership meeting agendas, and meeting information; assist with the planning and coordinating of WAUG meetings or events.   
7. Business Partner Officer shall: serve the term of two years; maintain accurate database of vendors; maintain a relationship with and communicate to vendors WAUG events and/or sponsorships; assist with the planning and coordinating of WAUG meetings and events.
8. Webmaster shall: serve the term for two years; will be responsible for keeping the User Group’s website up-to-date with requested changes from board members, and will suggest changes and improvements to how the website is designed and evolves as a principal form of user information and communication; assist with the planning and coordinating of WAUG meetings or events
9.  Regional Coordinators (Northern & Southern) shall: serve a term of two years; will represent that region in board meetings and contribute to board duties and actions as assigned. The coordinator will also organize the regional meeting or webinar providing location and communication to that area’s members and assist with the planning and coordinating of WAUG meetings or events

ARTICLE VIII

GENERAL POLICIES

1.  Members shall not, in any dealings on behalf of themselves or their organization, use the User Group to benefit themselves or their organization.

2.  The User Group shall be non-political and non-sectarian.

3.  Robert’s Rules of Order shall govern the Users Group in all cases when applicable and not inconsistent with the by-laws of the User Group.

4.  The Wisconsin Avaya Users Group assures that no person shall, on the grounds of race, color, religion, sex, sexual preference, national origin, political affiliation, age, handicap or any other non-merit factors, and with regard for the privacy and constitutional rights of citizens, be denied membership or be otherwise subjected to discrimination by User Group members.

5.  All WAUG and Avaya/Lucent logos, artwork, trademarks or designs may not be reproduced for any purpose without the written consent of the officers of the WAUG and Avaya/Lucent respectively.

6.  These by-laws may be amended at any business or special meeting by a quorum vote of members present. Substance of the proposed amendments shall be sent via email to each member at least two weeks prior to such meetings, unless proposed amendments have been discussed at previous meetings.
